Acceptance of these terms

These terms govern your use of the OpenText Audit Defense website. By visiting the site, reading our material, or submitting any form, you agree to the terms set out here. If you do not agree, please do not use the site. We may update these terms from time to time, and the effective date above reflects the current version.

Who we are

OpenText Audit Defense is an independent, buyer side advisory practice founded in 2020 by former vendor compliance leadership, with offices in Toronto, London and Frankfurt. We defend companies in OpenText and Micro Focus software audits. We do not resell OpenText software, and we are not affiliated with OpenText Corporation. Nothing on this site implies any partnership, endorsement, reseller relationship, or official status with OpenText or Micro Focus. To understand how we work, read about the firm and our method.

Informational purpose only

The content on this site, including articles, white papers, the glossary, and the defense track pages, is published for general information about software audit practice. It describes patterns we see across engagements and the way common license metrics are measured and challenged. It is not legal advice, it is not contractual advice, and it does not create an advisory relationship. Every audit is specific to a company's contracts, entitlements, and deployment, and no page here should be treated as a substitute for advice on your own situation. No guarantee of outcome

We publish statistics drawn from our engagements, including an average reduction of 68 percent across more than 200 defended audits and more than $90M in cumulative claims mitigated. These figures describe past results in aggregate. They are not a promise or prediction about any future engagement. The reduction achieved in any audit depends on the contracts, the records, the products in scope, and the posture of the vendor, all of which vary. Past results do not guarantee a similar outcome.

Accuracy of grounding material

We aim to describe OpenText and Micro Focus audit mechanics accurately, including the seven day notice window, the deemed acquisition at list price remedy, back maintenance, and the Additional License Authorizations that govern most Micro Focus products. Licensing terms, product names, and vendor programs change over time, and the published material may not reflect the latest position. You should always confirm against your own agreements and the current vendor terms before acting.

Intellectual property

The text, design, and structure of this site are owned by OpenText Audit Defense unless otherwise noted. You may read and share links to our material and quote short passages with attribution. You may not republish substantial portions, copy the site design, or present our material as your own. Product names referenced here belong to their respective owners and are used only to describe the audit practice we defend against.

Use of the site

You agree to use the site lawfully and not to attempt to disrupt it, probe it for vulnerabilities, scrape it at scale, or misuse the forms. The forms on this site are the only contact mechanism we operate, and they should be used for genuine enquiries about audit defense, the newsletter, or our white papers. Do not submit confidential audit records through a form field; if a matter requires document exchange, we will agree a secure method with you first.

Third party links and services

The site loads web fonts from a third party font service and processes form submissions through a third party forms provider. Those providers operate under their own terms. Where we link to external resources, we do so for convenience and do not control or endorse their content. We are not responsible for the practices of any third party site you reach through a link here.

Limitation of liability

The site and its content are provided on an as is basis, without warranties of any kind, to the fullest extent permitted by law. We are not liable for any loss arising from reliance on the general information published here. Decisions about a live audit should be made with advice on your specific facts. This limitation does not exclude any liability that cannot be excluded under applicable law.

Governing approach and changes

We operate across Canada, the United Kingdom, and Germany, and we apply the laws relevant to where a given engagement is based. We may revise these terms, the site, or our published material at any time. Continued use of the site after a change means you accept the revised terms.
